Revolution Lighting Technologies Files Universal Shelf Registration Statement
STAMFORD, Conn.-- Revolution Lighting Technologies, Inc. (NASDAQ:RVLT) (“Revolution Lighting”), a global provider of advanced LED lighting solutions, today announced that it has filed a universal shelf registration statement on Form S-3 with the U.S. Securities and Exchange Commission. The aggregate offering price of all securities that may be sold under the registration statement will not exceed $50 million. Although the registration statement relating to these securities has been filed with the SEC, it has not yet become effective.
Under the shelf registration statement, once declared effective by the SEC, Revolution Lighting may offer and sell from time to time debt securities, common stock, preferred stock, warrants and other securities or any combination of such securities. The Company may periodically offer one or more of these securities in amounts, at prices and on terms to be announced if and when the securities are ever offered. All net proceeds from any offering will go directly to Revolution Lighting and will be available for corporate purposes. The terms of any securities offered by the Company under the registration statement, along with the Company’s use of proceeds of any such securities, will be described in detail in a prospectus supplement filed with the SEC at the time of any such offering.
