Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
At the 2010 Annual Meeting of Stockholders of Nexxus Lighting, Inc. (the Company), held on May 25, 2010, the Companys stockholders voted to approve the proposal to amend the Companys 2003 Stock Incentive Plan to increase the number of shares of common stock available for issuance thereunder from 810,000 to 1,160,000 shares.
For a description of the terms and conditions of the amendment to the 2003 Stock Incentive Plan, as approved by the Companys Board of Directors on March 24, 2010, see Proposal 2: Approve Amendment to 2003 Stock Incentive Plan in the definitive proxy statement filed with the Securities and Exchange Commission on April 13, 2010 (the 2010 Proxy Statement). The description of the amendment to the 2003 Stock Incentive Plan contained in the 2010 Proxy Statement is qualified in its entirety by and subject to the full text of the amendment to the 2003 Stock Incentive Plan, a copy of which was filed as Appendix A to the 2010 Proxy Statement and is incorporated herein by reference.
Item 5.07. Submission of Matters to a Vote of Security Holders.
The Companys 2010 Annual Meeting of Stockholders was held on May 25, 2010. As of April 8, 2010, the record date for the Annual Meeting, 16,245,503 shares were issued, outstanding and entitled to vote. A summary of the matters voted upon by the stockholders is set forth below.
1. The Companys stockholders voted to elect the following persons as directors to serve until the next annual meeting and until their successors have been elected and qualified. The voting results were as follows:
