Ladenburg Thalmann Announces Public Offering of Senior Notes

MIAMI--(BUSINESS WIRE)-- Ladenburg Thalmann Financial Services Inc. (NYSE American: LTS; LTS PrA) (the “Company”) today announced that it has commenced an underwritten registered public offering of $40 million aggregate principal amount of senior notes due 2027 (the “Notes”), subject to market and certain other conditions. The Company intends to grant the underwriters a 30-day option to purchase up to an additional $6 million aggregate principal amount of Notes in connection with the offering solely to cover overallotments, if any. The Notes are expected to be listed on the NYSE American and to trade thereon within 30 days of the original issue date.

The Company plans to use the net proceeds from the offering for general corporate purposes.

Ladenburg Thalmann & Co. Inc., a subsidiary of the Company, is acting as lead book-running manager for the offering, and BB&T Capital Markets, a division of BB&T Securities, LLC, Incapital LLC, EarlyBirdCapital, Inc. and Barrington Research Associates, Inc. are acting as co-managers for the offering.
