OvaScience Prices $50 Million Public Offering of Common Stock
CAMBRIDGE, Mass.--(BUSINESS WIRE)--OvaScienceSM, (NASDAQ: OVAS), a global life sciences company focused on the discovery, development and commercialization of new fertility treatments, announced the pricing of $10.00 per share for its previously announced underwritten public offering of 5,000,000 shares of its common stock. Gross proceeds to OvaScience from this offering are expected to be approximately $50 million, and the Company intends to use the net proceeds to fund OvaPrimeSM preclinical studies and the anticipated 2015 international launch, establish an international subsidiary, expand the AUGMENTSM international launch, and for other general corporate purposes.
OvaScience has granted the underwriters a 30-day option to purchase up to an additional 750,000 shares of common stock offered in the public offering to cover over-allotments, if any. All of the shares in the offering will be sold by OvaScience. The offering is expected to close on March 7, 2014, subject to customary closing conditions. Leerink Partners LLC is acting as the sole book-running manager of the offering. Co-Managers include Cantor Fitzgerald & Co., H.C. Wainwright & Co., LLC, JMP Securities LLC, Ladenburg Thalmann & Co., and Roth Capital Partners.
