We have acted as counsel to Black Ridge Oil & Gas, Inc., a Nevada corporation (the “Company”), in connection with preparation and filing of the registration statement on Form S-1, as amended (the “Registration Statement”), to be filed by the Company with the Securities and Exchange Commission (the “SEC”) under the Securities Act of 1933, as amended (the “Act”). The Registration Statement relates to the proposed distribution to holders of common stock (the “Common Stock”), on a pro rata basis, of non-transferable subscription rights to purchase up to nine shares of Common Stock (the “Subscription Rights”).
